    Terms of Service

    Welcome to Sentinel Push-to-Talk. These Terms of Service (“Terms”) govern your access to and use of Sentinel Push-to-Talk products, services, software, applications, websites, devices, accessories, dispatch tools, and related offerings (collectively, the “Services”) provided by Sentinel Push-to-Talk (“Sentinel,” “we,” “us,” or “our”).

    By purchasing, activating, accessing, or using the Services, you agree to these Terms. If you use the Services on behalf of a company, government agency, or other organization, you represent that you have the authority to bind that organization to these Terms.

    1. Eligibility and Authority

    You must be legally able to enter into a binding agreement to use the Services. If you accept these Terms on behalf of an organization, you represent that you are authorized to do so.

    2. Services Covered by These Terms

    These Terms apply to, as applicable:

    • Push-to-talk over cellular service
    • Mobile and handheld devices sold or supplied by Sentinel
    • Applications, dispatch software, web portals, and management tools
    • SIM-enabled or carrier-backed connectivity offerings
    • GPS, mapping, alerting, messaging, and related optional features
    • Technical support, maintenance, and updates, if included with your plan or separately purchased

    Certain offerings may also be subject to additional order forms, quotes, service agreements, warranty terms, support terms, privacy policies, or acceptable use requirements. If there is a conflict, the signed order form or service agreement will control for that purchase.

    3. Account Registration and Customer Responsibilities

    You agree to provide accurate, current, and complete information when placing an order, creating an account, or activating Services.

    You are responsible for:

    • maintaining the confidentiality of account credentials;
    • limiting account access to authorized users;
    • ensuring all users comply with these Terms;
    • promptly notifying Sentinel of unauthorized access, lost devices, or suspected misuse.

    You are responsible for all activity under your account unless caused solely by Sentinel’s misconduct.

    4. Orders, Activation, and Service Plans

    Services may be offered on a monthly, annual, project-based, rental, or other basis, as stated in your quote, invoice, order acknowledgment, or service agreement.

    Activation dates may differ from shipment dates. Billing may begin on shipment, activation, or another date stated in your order documents.

    Sentinel may refuse or cancel orders in cases involving pricing errors, product unavailability, suspected fraud, export restrictions, or misuse risk.

    5. Fees, Billing, Taxes, and Payment

    You agree to pay all charges for the Services, including recurring subscription fees, device charges, setup fees, shipping, support fees, overages, and applicable taxes.

    Unless otherwise stated in writing:

    • recurring charges are billed in advance;
    • usage-based or one-time charges may be billed in arrears;
    • invoices are due according to the payment terms shown on the invoice;
    • late balances may accrue finance charges at the lesser of 1.5% per month or the maximum amount allowed by law;
    • you are responsible for all applicable sales, use, telecom, and similar taxes, excluding taxes based on Sentinel’s net income.

    If payment is late, Sentinel may suspend shipments, deactivate services, disable access, or require prepayment.

    6. Term, Renewal, Cancellation, and Suspension

    Your service term will be the term stated in your order or agreement. If no fixed term is stated, service is presumed to be month-to-month unless otherwise specified in writing.

    Unless otherwise stated:

    • month-to-month services continue until cancelled;
    • cancellations take effect at the end of the current billing cycle unless otherwise required by law or agreed in writing;
    • fixed-term services may not be cancelled early without applicable early termination charges or payment of remaining committed fees;
    • rentals and temporary deployments must be returned or concluded under the rental terms provided at ordering.

    Sentinel may suspend or terminate Services immediately if you fail to pay amounts due, violate these Terms, or if use of the Services creates legal, security, carrier, or operational risk.

    7. Coverage, Availability, and Performance

    Sentinel Push-to-Talk relies in whole or in part on third-party networks, carrier infrastructure, internet connectivity, customer facilities, cloud hosting, device compatibility, and environmental conditions.

    Coverage and performance may vary based on location, terrain, buildings, congestion, power availability, compatible hardware, and third-party network conditions.

    Accordingly:

    • coverage maps are approximate and for informational purposes only;
    • uninterrupted availability is not guaranteed;
    • latency, audio quality, GPS precision, and data performance may vary;
    • emergency or mission-critical use may require additional redundancy or backup procedures.

    8. Support, Maintenance, and Updates

    Sentinel may provide technical support, software updates, firmware updates, maintenance, or replacements as described in your service plan.

    Unless otherwise agreed in writing:

    • support is provided during Sentinel’s standard business hours;
    • Sentinel may deploy patches, bug fixes, enhancements, or security updates;
    • customer cooperation may be required for diagnosis and resolution.

    9. Devices, SIMs, and Equipment

    Devices, accessories, chargers, microphones, vehicle equipment, SIMs, and related hardware sold or supplied by Sentinel are subject to any applicable quote, warranty, return, lease, or rental terms.

    You agree:

    • to use devices only as intended and according to documentation;
    • not to tamper with radios, firmware, identifiers, SIMs, or safety components;
    • to protect devices from misuse, theft, or unauthorized modification.

    10. Acceptable Use

    You may not use the Services:

    • for unlawful, fraudulent, threatening, abusive, harassing, or deceptive activity;
    • to interfere with networks, platforms, or other users;
    • to attempt unauthorized access to accounts, devices, portals, APIs, or infrastructure;
    • to violate privacy, surveillance, wiretap, recording, export, or telecom laws.

    11. Location, Recording, and User Data

    Some Services may include GPS, live location, audio storage, or recording-related functions. You are responsible for obtaining all legally required notices and consents from users and complying with laws governing recording and workplace privacy.

    12. Customer Content and Communications

    As between you and Sentinel, you retain ownership of content you or your users submit or transmit through the Services. You grant Sentinel a limited, nonexclusive right to process and store content solely as needed to provide the Services.

    13. Software License

    Sentinel grants you a limited, nonexclusive, nontransferable, revocable license to use authorized Sentinel software solely for your internal business or governmental operations.

    14. Intellectual Property

    Sentinel and its licensors own all rights, title, and interest in the Services, including all software, designs, logos, and graphics. No rights are granted except as expressly stated.

    15. Third-Party Services and Dependencies

    The Services may depend on third-party products and services, including carriers and hosting providers. Sentinel is not responsible for third-party products or service interruptions.

    16. Disclaimers

    Except as expressly stated in a signed writing, the Services are provided “as is” and “as available.” Sentinel disclaims all implied warranties to the maximum extent permitted by law.

    17. Limitation of Liability

    To the maximum extent permitted by law, Sentinel’s total aggregate liability shall not exceed the amounts paid by you for the Services during the twelve (12) months preceding the claim.

    18. Indemnification

    You agree to defend and indemnify Sentinel from claims arising out of your misuse of the Services, breach of these Terms, or violation of law.

    19. Compliance with Laws

    You agree to comply with all applicable laws, including those relating to privacy, telecommunications, exports, and government procurement.

    20. Changes to the Services or Terms

    Sentinel may update the Services or modify these Terms from time to time. Continued use after the effective date constitutes acceptance of the updated Terms.

    21. Confidentiality

    You agree to keep nonpublic information about Sentinel’s systems, pricing, and documentation confidential.

    22. Governing Law and Venue

    These Terms are governed by the laws of the State of Oklahoma. Any dispute shall be brought exclusively in the state or federal courts located in Oklahoma County, Oklahoma.

    23. Force Majeure

    Sentinel is not liable for any delay or failure caused by events beyond its reasonable control, including carrier outages, natural disasters, or governmental actions.

    24. Entire Agreement; Assignment; Severability

    These Terms form the entire agreement regarding the Services. You may not assign these Terms without Sentinel’s prior written consent.
